The guidelines for insiders at Hoivatilat will complement the obligations set by the valid EU regulations, domestic regulations (especially the Finnish Securities Markets Act and the Finnish Penal Code), the instructions of the Finnish Financial Supervisory Authority and the insider guidelines of Nasdaq Helsinki. The guidelines for insiders are available for the entire personnel of the company. The Board of Directors of Hoivatilat has approved the company’s guidelines for insiders.
As a result of the entry into force of the Regulation (EU) on Market Abuse (MAR), the company no longer maintains a public insider register. Hoivatilat maintains project and event-specific insider lists, which are not public.
Transactions by persons discharging managerial responsibilities
The following persons discharging managerial responsibilities in the company have the obligation to notify their transactions with the company’s securities:
- Chairman and Vice Chairman of the Board of Directors
- Board members and possible deputy members
- CEO and possible deputies for the CEO, and
- members of the Executive Team.
The persons who have managerial responsibilities with the obligation to notify may not on their own account or for a third party execute transactions using the company’s securities prior to the publication of the company’s business review, half-yearly report and the financial statements release during the period that starts 30 days before the publication of the business review, half-yearly report and the financial statements release and end upon the expiry of the publication date.
Instructions on the notification of breaches relating to the financial markets
Employees at Suomen Hoivatilat Oyj can, via an independent channel, submit notification of a suspected breach of the rules and regulations concerning the financial markets, among other things, for actions contrary to the insider guidelines of the company and Nasdaq Helsinki Oy.
The handling of the notifications is arranged appropriately and the personal data of the notifier and the person subject to the notification will be protected according to the Finnish Personal Data Act (523/1999).
