The related parties of Hoivatilat include subsidiaries, Board members, the CEO, the CFO and shareholders who have a significant influence in the company. The company’s related parties also include their family members as well as such companies which are controlled or jointly controlled by these persons. As a party exercising significant influence in the company, the related parties include Partnera Oy, which owns 22.9% of the share capital of Suomen Hoivatilat Oyj through Nurture Property Holding Oy and Nurture Real Estate Holding Oy, which it owns.
When preparing transactions with a party belonging to the company’s related parties or when deciding on such transactions with a party belonging to the related parties, the persons who belong to the related parties of the company’s contractual partner or an adverse party or persons to whom or to whose related party a material benefit could be expected from a transaction carried out or dismissed shall not attend the decision-making or handling of the matter. Transactions with the company’s related parties will be executed at fair market prices. Pertti Huuskonen, Chairman of the Board of Directors of Hoivatilat, has served as Chairman of the Board of Directors of Lehto Group Oyj, the parent company of Rakennusliike Lehto Oy, until 11 April 2018, until which time Rakennusliike Lehto Oy is considered a related company of Hoivatilat. Rakennusliike Lapti Oy has carried out construction projects for the company at a value of €26 million during the financial year ended 31 December 2017. Rakennusliike Lehto Oy has carried out construction projects for the company at a value of €1 million during the financial year ended 31 December 2017.
